The OfferUp Inc. (“OfferUp”, “we”, “our”) credit program allows OfferUp users (an “OfferUp User”, “you”) earn promotional credits (“Credits”) that can be applied towards future OfferUp purchases (the “Credit Program”).
The Credit Program is governed by these Credit Program terms and conditions (“Credit Terms”), along with OfferUp’s general Terms of Use (“OfferUp Terms”, collectively with the Credit Terms, the “Terms”). Capitalized words that are not defined here will have the same meaning given to them in the OfferUp Terms. BY PARTICIPATING IN THE CREDIT PROGRAM, YOU ACKNOWLEDGE THAT YOU HAVE READ AND AGREE TO THE TERMS.
1. How to Earn Credits
OfferUp Users can earn Credits by either participating in the referral program (“Referral Credits”) or by receiving them directly from OfferUp at OfferUp’s discretion (“Gift Credits”). CREDITS THAT ARE EARNED BY OFFERUP USERS WILL EXPIRE 30 DAYS AFTER THEY ARE ISSUED TO AN EARNER’S ACCOUNT.
A. Referrals with other OfferUp Users
OfferUp Users may earn Credits, either by referring someone else or being referred to the OfferUp Service, after meeting the conditions listed below (“Referral Conditions”):
Referrer. A current, properly registered OfferUp User (the “Referrer”) can earn Credits to apply towards future OfferUp purchases if the Referrer: (i) has a friend or family member use their unique active referral link to create an OfferUp account (“Referral Link”); (ii) has a Referree (defined below) complete a Qualifying Purchase (defined below); and (iii) remains in compliance with the Terms.
Referree. The person referred to and new to OfferUp (the “Referree”) can then also earn Credits if the Referee: (i) uses a Referral Link to create and register for a new OfferUp account; (ii) has not previously signed up and created an account with OfferUp; and (iii) remains in compliance with the Terms.
Upon completing their respective Referral Conditions, both the Referrer and the Referee would then qualify for a Referral Credit. OfferUp reserves the right to determine the value of Referral Credits at their own discretion and may change that value at any time.
A “Qualifying Purchase”means an item purchased on the OfferUp Service, where payment is made through the OfferUp Payment Solution, delivered to the buyer through OfferUp’s shipping service.
B. From OfferUp at Our Discretion
We may decide to give an OfferUp User a Gift Credit that can be applied toward purchases on OfferUp. In doing so, OfferUp will send you an email or a notification alerting you that you qualify for or will receive a Gift Credit. OfferUp will provide Gift Credits to OfferUp Users at their own discretion, and at a value of our own choosing. There may be rules or prerequisites tied to receiving the Gift Credit, in which case, you will be required to comply with any such rules or prerequisites.
2. Referring Users & Multiple Credits
A. Sharing Referral Links
Referrals should only be used for personal, non-commercial purposes, and Referral Links should only be shared with friends and family via e-mail, text message, social media, verbally, through the OfferUp Service or other methods as deemed appropriate. Referral Links should not be “spammed”, advertised, broadcast or distributed publicly where recipients would be someone other than a personal friend or family member (such as through automated messages, coupon websites or internet forums). Lastly, Referral Links have a limited life span that are subject to change, and they will remain active for a time period as OfferUp determines is reasonable and appropriate.
B. Multiple Referrals and Credits
As a Referree, you can only use a Referral Link to obtain a Referral Credit one time. A Referrer may refer as many Referrees as they’d like, but cannot earn more than 10 Referral Credits per calendar year. OfferUp may give an OfferUp User as many Gift Credits as they see fit.
If a Referree receives Referral Links from multiple Referrers, only the Referrer whose Referral Link was actually used to create the Referree’s account will receive a corresponding Referral Credit.
Credits may not be combined with other OfferUp referral programs, promotions or sweepstakes. OfferUp Users cannot earn multiple Credits by creating various OfferUp accounts, and Credits accrued in separate OfferUp accounts may not be combined into a single OfferUp account. You may not earn Referral Credits by referring yourself to the Credit Program.
3. Redeeming Credits
Credits may only be redeemed and applied on OfferUp purchases that require payment to be processed through the OfferUp Payment Solution and delivered to the buyer through OfferUp’s shipping service. Credits cannot be applied towards the cost of shipping.
Referral Credits will appear in a Referrer or Referees OfferUp account after meeting the Referral Conditions. And Gift Credits will appear in an OfferUp User’s account who receive such an offer and comply with any accompanying prerequisites. Credits may take 1-3 days to appear in a qualifying Credit earner’s account, and those Credits will expire 30 days after they are issued to a qualifying Credit earner’s account. Credits are issued for promotional purposes only; they have no cash value and may not be transferred or exchanged for other currencies or other items of value except as set forth herein.
Applicable Credits will apply to the final price agreed upon for an item as determined between the buyer and seller. Credits will more often than not be for an amount that is less then the price of the item being purchased. In which case, the OfferUp user redeeming a Credit is required to pay the difference between the final price of the item being purchased and the Credit being applied. For example, if an OfferUp User posts an item for $35, and a Credit is applied in the process of purchasing that item, the user redeeming a $5 credit would pay only $30 (plus applicable shipping). Or, if an item is posted for $35, but the price is negotiated down to $30, the user with that Credit would then pay $25 (plus applicable shipping).
If the purchase price of an item ends up being less than the value of the Credit being used, the remaining value of the Credit will not roll over, and it is exhausted upon the first item that is purchased with the Credit. Further, if someone has earned multiple Credits, the Credits may not be combined to create larger valued Credits, as each Credit as individually valued applies to a separate, single purchase.
If for any reason you believe that there is a discrepancy regarding your balance of Credits, please contact OfferUp. OfferUp may require you to submit additional information in order to make a determination regarding your balance. All decisions regarding your balance will be final and at OfferUp’s sole discretion.
You are responsible for any tax consequences that may result from your redemption or use of any Credits.
4. General Terms and Conditions
A. Termination and Changes
OfferUp reserves the right to suspend an OfferUp User or remove Credits if we notice any activity that we believe is fraudulent, improper or in violation of any of the Terms. OfferUp reserves the right to review and investigate all referral activity, suspend any OfferUp Users or modify referral activity in our sole discretion as we deem fair and appropriate.
OfferUp further reserves the following rights regarding the Credit Program: OfferUp may suspend or terminate the Credit Program without notice at any time for any reason; the Credit Program runs for a limited time and is subject to change at OfferUp’s discretion; and the scope, variety, and type of services and products that you may obtain by redeeming Credits may change at any time at OfferUp’s discretion.
B. Updates to the Terms
OfferUp may update these Credit Terms or the OfferUp Terms at any time without prior notice. If we modify the Terms, we will post the modification on the OfferUp website or app, which is effective upon posting. CONTINUED PARTICIPATION IN THE CREDIT PROGRAM AFTER ANY MODIFICATION TO THE CREDIT TERMS OR OFFERUP TERMS WILL CONSTITUTE CONSENT TO SUCH MODIFICATION.
C. Miscellaneous
The Credit Program is conditional on and subject to local laws and regulations. Nothing in the Credit Program will or is intended to create any kind of relationship between the participants of the Credit Program and OfferUp, and Referrers have no authority to represent or bind OfferUp to any obligation.
